Bonfiglioli Transmissions launches a ₹2,534-crore offer-for-sale IPO with a price band of ₹558-586 per share. The issue opens for subscription on 15 October 2026.

Bonfiglioli Transmissions, the Indian subsidiary of Italy’s Bonfiglioli S.p.A., is launching a ₹2,533.66-crore initial public offering with a price band of ₹558-586 per share. The entire issue is an offer for sale, providing an exit for the promoter, meaning the company itself will not receive any proceeds. The final price will be set within this band through a book-building process involving anchor investors and other bidders.
Timing and process
Anchor investor bidding is scheduled for October 14. The IPO opens for subscription on 15 October 2026 and closes on 19 October 2026. Tentative listing on the stock exchanges is set for 23 October 2026. All dates are subject to change.
Company background and financials
Bonfiglioli Transmissions manufactures gearboxes, gear motors, and drive systems for industrial machinery, construction equipment, and wind turbines. It operates as the Indian arm of Italy-based Bonfiglioli SpA. The company maintains a debt-free balance sheet with a healthy net cash position. Its financial performance shows strong returns, with return on equity near 23% and return on capital employed near 30%. The bottom line achieved an annualized growth of 27% over the past three years.
Market position and outlook
The company holds a 25% market share in low and medium-duty gear motors in India, based on calendar year 2025 revenue. Its key customers include JCB India, Schwing Stetter India, Ajax Engineering, and Suzlon Energy. Overseas customers contribute 27.5% of total revenue. Industrial gearboxes and gear motors account for nearly 41% of the company’s revenue.
The Indian industrial gearbox market is projected to expand from ₹57.5 billion in FY23 to ₹101.4 billion by FY31. Bonfiglioli plans to establish a heavy-duty gearbox facility at Talegaon, Maharashtra. It currently runs three plants: two in Tamil Nadu and one in Maharashtra, with an annual capacity exceeding 330,000 gear motors and gearboxes. Utilisation levels across these facilities range from 60% to 80%.
The company has a portfolio of over 11,800 stock keeping units. A significant 54% of its product portfolio is co-engineered directly with OEM clients. Kennady V. Kaippally noted that "collaboration between engineering, manufacturing and supply-chain teams helped reduce product costs and improve competitiveness." The co-engineering process involves requirement analysis, application analysis, product feasibility, virtual validation, prototyping and testing, field validation, and serial production. Engaging with customers in off-highway mobility and wind industry verticals can take up to 30 months to complete.
Valuation and post-IPO impact
At the upper price band of ₹586, the IPO values the company at approximately ₹11,017 crore. This translates to a price-to-earnings ratio of about 46.3 times calendar 2025 earnings, which is roughly 11% below the industry average of 51.6 times. Following the offer, the promoter's holding will fall from 100% to about 77%.
Analysts point to the company's market position and financials as strengths. However, the sustainability of its high profitability is under scrutiny. Monjit Gogoi commented on the capacity expansion plans, saying, "But the benefit depends on demand matching the right product mix; some capacity may need upgrades or balancing before it can be fully used."
